These Terms & Conditions (“Terms”) govern your access to and use of the website www.valleyforge.com (the “Site”) and services offered via the Site, whether as a guest or a registered user (collectively, “you,” “your”). By using the Site or creating an account, you agree to these Terms. If you disagree with any part of the Terms, do not use the Site.

1. Parties & Scope

Contracting Entity. These Terms are between you and Valley Forge Fabrics, Inc., a Florida corporation, with principal place of business at 1650 W. McNab Road, Fort Lauderdale, Florida 33309 (“Valley Forge,” “we,” “us,” “our”).

Scope. These Terms apply to your access to and use of the Site (catalog pages, design library, contact forms, and related services). Additional terms may apply to particular features or products.

Other Policies. Our Privacy Policy, Cookie Policy, and any other policies referenced here are incorporated by reference and form part of these Terms.

2. Eligibility & Account Registration

Eligibility. You represent and warrant that you are of legal age in your jurisdiction (i.e. you are at least 18 or the age required to enter binding contracts) and have full capacity to enter into these Terms.

Account Creation. To access certain features (e.g. design library), you must register and create an account. You agree to (a) provide accurate, current, and complete information; (b) maintain and promptly update your information; (c) maintain the confidentiality of your credentials; and (d) notify us immediately of any unauthorized use of your account.

Security. You are responsible for all activity occurring under your account. We reserve the right to suspend or terminate any account in our discretion for violation of these Terms or other policies.

3. Permitted Use & Prohibited Conduct

3.1 Permitted Use

You may access and use the Site for lawful purposes, consistent with these Terms, including browsing catalog info, contacting us, and using the design library (if eligible).

3.2 Prohibited Conduct

You shall not use the Site to:

Violate any applicable law, regulation, or third-party rights (intellectual property, privacy, etc.).

Impersonate another person or entity or falsely state or misrepresent your affiliation.

Upload, post, transmit, or share malicious code, viruses, worms, or any material that damages, interferes with, or impairs the Site or related services.

Attempt to gain unauthorized access to the Site, servers, systems, or networks.

Use any automated system (scrapers, bots, spiders) to access or index the Site without permission.

Modify, reverse engineer, disassemble, or decompile any portion of the Site (unless permitted).

Use the Site to transmit unsolicited marketing, spam, or abusive content.

Interfere with the proper operation, including impairing performance or interfering with other users' use.

We reserve the right to investigate and take legal action against anyone who violates this clause.

Restrictions. You may not copy, modify, distribute, publicly display, republish, upload, transmit, or create derivative works of the Site content except to the extent expressly permitted by Valley Forge or by applicable law.

Trademarks. “Valley Forge” and other trademarks displayed on the Site are our property or those of our licensors. No right or license is granted to use them without express written permission.

5. Product Information

Product Descriptions & Availability. We strive to describe our products accurately. However, we do not warrant that descriptions or pricing are error-free, complete, or current. We reserve the right to correct errors, withdraw or refuse orders, or limit quantities.

6. Disclaimers & Warranty Limitations

As-Is / No Warranty. The Site, content, and services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise (including warranties of merchantability, fitness for a particular purpose, non-infringement).

No Guarantee. We do not guarantee that the Site will be error-free, uninterrupted, secure, or free of harmful components, or that defects will be corrected.

Third-Party Content. We are not responsible for any content provided by third parties or external links.

Limitation of Liability. To the fullest extent permitted by law, Valley Forge (and its officers, employees, affiliates) will not be liable for:

Indirect, incidental, special, consequential, punitive damages (including loss of profits, revenue, or goodwill);

Any damage arising from your use or inability to use the Site or content;

Any content errors or omissions or interruptions;

Unauthorized access or alteration of data.

In no event shall our total liability exceed the amount you paid us (if any) or USD 100, whichever is lower.

7. Indemnification

You agree to defend, indemnify, and hold harmless Valley Forge and its officers, directors, employees, agents from and against any claims, liabilities, losses, damages, costs or expenses (including reasonable attorneys’ fees) arising out of or in connection with (i) your use or misuse of the Site; (ii) your violation of these Terms; (iii) your violation of laws or rights of third parties; (iv) your content or submitted materials.

8. Termination & Suspension

By Us. We may suspend or terminate your access or accounts (or any part thereof) without notice for any violation of these Terms or if we believe you are engaged in fraudulent or abusive activity.

By You. You may terminate by discontinuing use and, if applicable, deleting your account. Termination does not relieve you of obligations that accrued prior (e.g. indemnity, payment).

Effect. Sections that by their nature survive termination (e.g. Ownership, Disclaimers, Indemnification, Limitation of Liability, Governing Law) will survive.

9. Modifications to Terms

We may revise these Terms at any time, in our sole discretion. When we make material changes, we will post the new Terms with a new “Last Updated” date and provide notice (e.g., via banner or email). Your continued use of the Site after such changes constitutes your acceptance of the new Terms.

10. Governing Law, Jurisdiction & Dispute Resolution

Governing Law. These Terms and your use of the Site will be governed by and construed in accordance with the laws of the State of Florida (excluding conflict of law rules).

Jurisdiction. You and Valley Forge consent to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida.

Arbitration / Alternative Dispute Resolution. Any dispute arising out of or relating to these Terms or the Site may (at Valley Forge’s option) be resolved by binding arbitration in Fort Lauderdale, Florida, according to the rules of American Arbitration Association, except for small claims you may bring in a local court. Each party pays its own fees.

11. Waiver & Severability

A failure by Valley Forge to enforce any right or provision of these Terms shall not constitute a waiver of such right.

If a provision is found invalid, illegal, or unenforceable by a court, such provision shall be limited or struck to the minimum necessary, so these Terms remain in effect.

All notices to Valley Forge under these Terms should be sent to:

13. Miscellaneous

Entire Agreement. These Terms and any policies incorporated herein constitute the entire agreement between you and Valley Forge regarding the Site and supersede any prior agreements.

Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign in connection with merger, sale, or reorganization.

No Third-Party Beneficiaries. There are no third-party beneficiaries to these Terms, except that our affiliates and service providers may enforce relevant provisions.

Translation. If the Terms are translated, the English version governs.
